Terms & Conditions for use of Pleiades AS Services

Please read these terms together with the policies (each as defined below) carefully before using Pleiades services, such as the www.lollipop.community and/or any other part of the Pleiades services (hereinafter “services”).

These terms govern your application for, holding of or use of a Pleiades/Lollipop account and Pleiades services.

By your registration for a Pleiades account, continued holding or use of an account through the Lollipop website or use of other Pleiades services, you acknowledge that you have fully understood these terms in their entirety, and you agree with and accept these terms in their entirety as a legally binding agreement between you and Pleiades (as defined below). If you do not accept any provision of these terms (or any part thereof), please do not register for the Lollipop account, the Pleiades websites or the Pleiades account and/or any other part of the Pleiades services.

If you are under 18 years of age, you will not be eligible to apply or register for or use the Pleiades app, the Pleiades account or any other part of the Pleiades services.

Please read these terms together.

These Terms constitute a binding agreement between you and Lollipop, hereby represented by Pleiades AS (“Pleiades”), a private limited company set up in Norway and with registered number 926 935 569. These Terms incorporate, and you hereby accept and agree with, the Privacy Policy, Fees Schedules, other applicable policies, other terms and conditions as may be prescribed by Pleiades, notices, procedures, specifications, FAQs, guides and guidelines that are provided or made available to you, appear on the Pleiades Website or are referred to in these Terms and which Pleiades may modify from time to time (collectively, the “Policies”).

YOU AND PLEIADES HEREBY AGREE AS FOLLOWS:

1. Application for the Lollipop website, registration for Pleiades account and eligibility

1.1 In order to be eligible to apply for and use our platform, you must be a resident in an Eligible Country. In order to be eligible to use our services, you must be at least eighteen (18) years of age, and have full power and capacity to accept these Terms.

1.2 You must represent and warrant to us in opening an account with us, that you are not acting on behalf of or for the benefit of anyone else.

1.3 You must be legally permitted to use the website by the laws of your home country.

1.4 You shall provide all such Customer Information as may be requested by Pleiades and deemed by Pleiades to be necessary for purposes of determining whether to approve of your account registration and determine the scope of the services you are eligible to receive from us. In particular, Pleiades reserves the right to require you to provide such additional Customer Information as may be deemed by Pleiades to be necessary for purposes of:

a) verifying your identity and other Customer Information provided by you to Pleiades;

b) otherwise fulfilling our legal or contractual obligations as well as enforcing these Terms. Pleiades may make, directly or indirectly, any inquiries which it considers necessary to validate Customer Information provided by you to Pleiades, including without limitation checking commercial databases, population registers or credit reports, or using other sources and publicly available information.

While Pleiades will take steps to verify the identity of users of the Pleiades Services, Pleiades cannot and does/do not provide any assurance or guarantee of any user identity. If you interact or transact with other Pleiades users, you are solely responsible for taking any and all appropriate

1.5 You hereby agree to:

a) provide accurate, current and complete Customer Information in relation to your identity, location and other matters in connection with your registration for Pleiades Services;

b) keep all Customer Information provided by you to Pleiades updated at all times;

c) immediately notify Pleiades if you change your country of residency or domicile or if there are any other changes to any other Customer Information provided by you to Pleiades;

d) protect and maintain the security of your access to your Pleiades Account and/or the Credentials, by undertaking all appropriate measures and performing all of your obligations as set out in Paragraph 6 below.

f) immediately notify Pleiades and if you discover or otherwise suspect any inappropriate or unauthorised disclosure of and/or use of your Pleiades App.

g) not use use another person’s Account nor to share your Account with any other person without their permission.

1.6 If you have successfully registered for a Pleiades Account AND thereafter register for a second (2nd) Pleiades Account using a different phonenumber or email, but with the same personal information as previously provided by you in respect of your registration for your initial Pleiades Account, Pleiades reserves the right not to approve the registration of such second (2nd) Pleiades Account, and you may be required to access and use only your previously approved Pleiades Account. If your previous registration for a Pleiades Account was rejected by Pleiades or Pleiades had previously closed your Account, you may not be able to reapply for a new Pleiades Account.

2. ACCOUNT INFORMATION AND USER CONTENT

2.1 You can review the Customer Information provided by you to Pleiades and make any desired changes to certain Customer Information, or to the settings for your Pleiades Account, at any time by logging into your Pleiades Account through the Pleiades App, accessing your profile therein and changing your preferences therein.

2.2 Unless your access to your Pleiades Account is restricted (for example, due to any suspicions of inappropriate or unauthorised disclosure of and/or suspicious account behaviour), you may access details of your account history, your Customer Information by logging into your Pleiades Account.

2.3 The Pleiades Services may include parts thereof which allow you to create, post, upload, share or store content, including, but not limited to, photos, videos, sound, text, graphics, code, items or other information and materials (collectively, your “User Content”). You are solely responsible for any of the User Content created, posted, uploaded, shared or stored by you and for your use of any interactive features of the Pleiades Services. You will not create, post, share or store any User Content that:

a) is unlawful, libelous, defamatory, obscene, pornographic, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;

b) would constitute, encourage or provide instructions for a criminal offence, violate or infringe the rights of any party (including intellectual property rights or rights of publicity or privacy), otherwise create liability or violate any local, state, national or international law;

c) uses the Service to promote or facilitate prostitution and/or facilitate traffickers in advertising the sale of unlawful sex acts with sex trafficking victims;

d) contains or depicts any statements, remarks or claims that do not reflect your honest views and experiences;

e) contains personally identifiable information about any person without that person’s consent;

f) impersonates, or misrepresents your affiliation with, any person or entity (including PLEIADES or the Card Issuer);

g) refers to or depicts Pleiades or the Pleiades Services but fails to disclose any material connection to Pleiades or the Pleiades Services which may exist;

h) contains any unsolicited promotions, political campaigning, advertising or solicitations;
i) contains any viruses, corrupted data or other harmful, disruptive or destructive files or content; or

j) in Pleiades’s sole judgment, is objectionable or that restricts or inhibits any other person from accessing and using the Pleiades Services, or that may expose Pleiades or any other person to any harm or liability of any type.

2.4 Pleiades does not endorse any User Content that is created, posted, uploaded, shared or stored by you in or through any part of the Pleiades Services. Pleiades shall not be responsible or liable for any User Content. Although Pleiades is under no obligation to screen, edit or monitor User Content, Pleiades reserves the right, and has absolute discretion, to remove, screen or edit User Content posted or stored on the Services at any time and for any reason. You are solely responsible for creating backup copies of and replacing any User Content you create, post, upload, share or store in or through any part of the Pleiades Services at your sole cost and expense.

3. TYPES OF CONTENT

3.1 There are three types of content that you will be able to access on the App: (i) content that you upload and provide (“Your Content”);
(ii) content that members provide (“Member Content”); and
(iii) content that Pleiades provides (“Our Content”).

3.2 Your Content

a) You agree that Your Content must comply with our Guidelines at www.lollipop.community/ guidelines, as updated from time to time. As Your Content is unique, you are responsible and liable for Your Content and will indemnify, defend, release, and hold us harmless from any claims made in connection with Your Content.

b) You may not display any personal contact or banking information on your individual profile page whether in relation to you or any other person (for example, names, home addresses or postcodes, telephone numbers, email addresses, URLs, credit/debit card or other banking details). If you do choose to reveal any personal information about yourself to other users, whether via email or otherwise, it is at your own risk. We encourage you to use the same caution in disclosing details about yourself to third parties online as you would under any other circumstances.

c) Your Content will be visible to other users of the website all around the world instantly - so make sure you are comfortable sharing Your Content before you post. As such, you agree that Your Content may be viewed by other users. By uploading Your Content on Pleiades, you represent and warrant to us that you have all necessary rights and licences to do so, and automatically grant us a non-exclusive, royalty free, perpetual, worldwide licence to use Your Content in any way (including, without limitation, editing, copying, modifying, adapting, translating, reformatting, creating derivative works from, incorporating into other works, advertising, distributing and otherwise making available to the general public such Content, whether in whole or in part and in any format or medium currently known or developed in the future).

3.3 Member Content

Other members of Pleiades will also share content via the App. Member Content belongs to the user who posted the content and is stored on our servers and displayed via the App at the direction of the user providing the Member Content.

You do not have any rights in relation to other users’ Member Content, and you may only use other Pleiades users’ personal information to the extent that your use of it matches Pleiades’s purpose of allowing people to meet one another. You may not use other users’ information for commercial purposes, to spam, to harass, stalk or to make unlawful threats. We reserve the right to terminate your Account if you misuse other users’ information.

3.4 Our Content

a) All other text, content, graphics, user interfaces, trademarks, logos, sounds, artwork, and other intellectual property appearing on Pleiades are owned, controlled or licensed by Pleiades and are protected by copyright, trademark and other intellectual property law rights. All right, title and interest in and to Our Content remains with Pleiades at all times.

b) We grant you a non-exclusive, limited, personal, non-transferable, revocable, licence to access and use Our Content, without the right to sublicense, under the following conditions: (i) you shall not use, sell, modify, or distribute Our Content except as permitted by the functionality of the website;

(ii) you shall not use our name in metatags, keywords and/or hidden text;

(iii) you shall not create derivative works from Our Content or commercially exploit Our Content, in whole or in part, in any way; and

(iv) you shall use Our Content for lawful purposes only.

We reserve all other rights.

3.5 No Obligation to Pre-Screen Content.

a) Pleiades does not assume any obligation to pre-screen any of Your Content or any Member Content.

b) However, it reserves the right to review, pre-screen, refuse and/or remove any Member Content and Your Content, including content exchanged between users in direct messages.

4. PROHIBITED USES OF PLEIADES SERVICES

4.1 You hereby agree that you shall not use any part of the Pleiades services to conduct, pay for or facilitate activities that:

a) violate any applicable law, regulation, rule, direction, order or requirement; b) relate to transactions involving:
The following content and items are strictly prohibited:

Any depiction, reference, or promotion of non-consensual sexual acts (including those involving alcohol, drugs, hypnosis, or while sleeping), underage individuals (whether provocative or non-provocative), incest, bestiality, rape, forced acts, prostitution, polygamy, or the exchange of money for sex.
Content involving extreme violence, gore, autopsy photos, crushing of live animals or bugs, snuff or fantasy snuff, sacrilegious material, racism, or hate speech.
References to bodily excretions, urination (including water sports or vomiting), cannibalism, self-mutilation, or suffocation.
Any mention or depiction of narcotics, steroids, chloroform, or controlled substances that pose a risk to human safety, including drug paraphernalia.
Items or content that encourage or instruct illegal activity; promote or facilitate stolen, pirated, or counterfeit goods; or infringe on copyrights, trademarks, privacy rights, or other intellectual property.

• Weapons, ammunition, firearm parts/accessories, or any other items restricted by law.

• Content or items that are considered obscene or promote the financial exploitation of a crime.

c) relate to transactions that:

show the personal information of third parties in violation of any applicable law, regulation, rule, direction, order or requirement;

support pyramid or Ponzi schemes, matrix programs, other "get rich quick" schemes or certain multi-level marketing programs;

are associated with purchases of annuities or lottery contracts, lay-away systems, off-shore banking or transactions to finance or refinance debts funded by a credit card;

involve offering or receiving payments for the purpose of bribery or corruption. 4.2 Further, you agree that you shall not:

a) use any part of the Pleiades Services or allow a third party to use any part of the Pleiades Services to commit fraud or otherwise violate the law;

b) engage in conduct that is harassing, threatening, intimidating, or stalking, or that Pleiades otherwise deems objectionable;

c) engage in conduct or an act of fraud, extortion or blackmail, that seeks to disseminate falsehoods about the Pleiades or otherwise harm the Pleiades’s reputation and credibility using deception;

d) use any part of the Pleiades Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Pleiades Services or that could damage, disable, overburden or impair the functioning of any part of the Pleiades Services in any manner;

e) use any part of the Pleiades Services to deliberately steal the content of another user, Pleiades, or affiliated companies, through replay attacks, etc.

f) reverse engineer any aspect of any part of the Pleiades Services or apply any other process or procedure to derive the source code of any software included in any part of the Pleiades Services (unless otherwise permitted by any applicable law, regulation, rule, direction, order or requirement);

g) violate, infringe or misappropriate any intellectual property right, of other third parties, or commit a tort;

h) reproduce (other than standard website page caching), create derivative works of, publicly perform, publicly display, distribute, sell, rent, lease, timeshare or otherwise commercially exploit any part of the Pleiades Services;

i) attempt to bypass or circumvent measures employed to prevent or limit access to any content, area or functionality of any part of the Pleiades Services;

j) develop any third-party applications that interact with Services without our prior written consent, except as allowed through the use of the Application Programming Interface (API) of the Pleiades App;

k) use any robot, spider, crawler, scraper, script, browser extension, offline reader or other automated means or interface not authorised by Pleiades to access any part of the Pleiades Services, extract data or otherwise interfere with or modify the rendering of pages or functionality of any part of the Pleiades Services;

l) bypass or ignore instructions contained in our robots.txt file that controls automated access to any part of the Pleiades Services;

m) use any part of the Pleiades Services other than for its intended purposes; or

n) use any part of the Pleiades Services to engage in or promote any activity that violates these Terms.

4.3 You can report any abuse or complain about Member Content by contacting us, outlining the abuse and/or complaint. You can also report a user directly from a profile or in chat by clicking the ‘Block & Report’ link. We reserve the right to investigate any possible violations of these Terms, and we may, in our sole discretion, immediately terminate any user’s right to use of the App without prior notice, as set out further in Section 1 above.

4.4 We don’t control any of the things our users say or do, so you are solely responsible for your interactions with other users of the App.

5. PROFILE SECURITY

5.1 You understand that you are responsible for maintaining the confidentiality of the username and password of your profile, and you are fully responsible for all activities that occur under your username and password, including the purchase of any of our Paid Service (as defined in Section 6 below). You agree to immediately notify Pleiades if you suspect any unauthorized use of your username or password or any other breach of security. You acknowledge that Pleiades is not responsible for any loss or damage arising from the theft or misappropriation of your username or password.

5.2 The nature of the Service promotes the sharing of personal information by users with other users. Pleiades cannot and does not assure that it is safe for you to have direct contact with other users of the Service. Current technological developments make it possible for users of the Internet to obtain personal information about, and locate, other users, with very little other information. If you believe that any user of the Service is harassing you or is otherwise using personal information about you for unlawful purposes, we encourage you to first inform local law enforcement authorities and then to contact us so that we may take appropriate action to block further use of the Service by any user who is using the Service and information obtained from it for improper purposes.

5.3 You assume all risk when using the Service, including but not limited to all risks associated with any online or offline interactions with others, including dating. In addition, you agree to take all necessary precautions when meeting other users, especially if you decide to meet in person. There is no substitute for acting with caution when communicating with any stranger who wants to meet you.

You understand that Pleiades does not currently conduct criminal background checks on its users. Pleiades also does not inquire into the backgrounds of its users or attempt to verify the statements of

its users. Pleiades reserves the right to conduct any criminal background check or other screenings (such as sex offender registration searches) at any time and to use available public records for any purpose.

6. PRIVACY

6.1 For information about how Pleiades collects, uses, and shares your personal data, please check out our own document on Privacy Policy. By using Pleiades you acknowledge that we may use such data in accordance with our Privacy Policy.

7. PAYMENT TERMS

7.1 Pleiades may offer products and services for purchase on the App. If you choose to make an In- App Purchase, you acknowledge and agree that additional terms, disclosed to you at the point of purchase, may apply, and that such additional terms are incorporated herein by reference. We may, from time to time, receive and use updated payment method information provided by you or that financial institutions or payment processors may provide to us to update information related to your Payment Method(s), such as updated expiration dates or account numbers.

7.2 You may make an In-App Purchase through Fienta, which is a third-party processor. Once you have made an In-App Purchase, you authorise us to charge your chosen Payment Method. If payment is not received by us from your chosen Payment Method, you agree to promptly pay all amounts due upon demand by us.

7.2.1 All purchaces are in Norwegian kroners (NOK). Taxes are not inlcuded. 7.3 Current Information Required.

7.3.1 You agree to provide current, complete and accurate billing information and agree to promptly update all such information (such as changes in billing address, credit card number or credit card expiration date) as necessary for the processing of all payments that are due to Pleiades.

7.3.2 You agree to promptly notify Pleiades if your Payment Method is canceled (for example, due to loss or theft) or if you become aware of a potential breach of security related to your Payment Method.

7.3.3 If you fail to provide any of the foregoing information, you acknowledge that your current Payment Method may continue to be charged for the Paid Service and you remain responsible for all such charges.

7.4 Change in Amount Authorized.

7.4.1 If the total amount to be charged varies from the amount you authorized when purchasing any Paid Service (other than due to the imposition or change in the amount of taxes, including without limitation sales and use taxes, duties or other governmental taxes or fees), Pleiades will provide notice of the amount to be charged and the date of the charge at least 10 days before the scheduled date of the transaction.

7.4.2 If you do not cancel your Paid Service before the increased price goes into effect, you agree to pay the increased price for the Paid Service.

7.4.3 You agree that Pleiades may accumulate charges incurred and submit them as one or more aggregate charge during or at the end of each billing cycle.

7.4.4 Pleiades will inform you of any additional charges that are accumulated.

7.4.5 Pleiades reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment.

7.5 Subscriptions and Auto-Renewal

7.5.1 Pleiades may offer some services as automatically-renewing subscriptions, e.g., a one-week subscription, one-month subscription, or three-month subscription (“Premium Services”). IF YOU PURCHASE AN AUTOMATICALLY RENEWING SUBSCRIPTION, YOUR SUBSCRIPTION WILL RENEW AT THE END OF THE PERIOD, UNLESS YOU CANCEL, AT Pleiades’S THEN- CURRENT PRICE FOR SUCH SUBSCRIPTIONS. To avoid charges for a new subscription period, you must cancel, as described below, before the end of the then-current subscription period. Deleting your account or deleting the application from your device does not cancel your subscription. You will be given notice of changes in the pricing of the Premium Services to which you have subscribed and an opportunity to cancel. If Pleiades changes these prices and you do not cancel your subscription, you agree that you will be charged at Pleiades’s then-current pricing for subscription.

7.6 Cancelling Subscriptions.

a) If you purchased a subscription directly from Pleiades, you may cancel or change your Payment Method via the payment settings option under your profile.

b) If you cancel your subscription, you may use your subscription until the end of the period you last paid for, but :

(i) you will not (except as set forth in the subsection entitled “Refunds” below) be eligible for a prorated refund,

(ii) your subscription will not be renewed when that period expires and

(iii) you will then no longer be able to use the Premium Services or In-App Purchases enabled by your subscription.

7.7 Free Trials.

a) If you sign up for a free trial and do not cancel, your trial may convert into a paid subscription and your Payment Method will be charged at the then-current price for such subscription.

b) Once your free trial converts to a paid subscription, your paid subscription will continue to automatically renew at the end of each period, and your Payment Method will be charged, until you cancel.

c) To avoid charges for a new subscription period, you must cancel before the end of the then current subscription period or free trial period as described above.

d) Deleting your account or deleting the application from your device does not cancel your free trial.

7.8 Refunds.

a) Generally, all charges for event purchases are nonrefundable, and there are no refunds or credits for partially used periods. In rare sitautions where Pleiades has to cancel an event, tickets will be refunded to the same bank account as purchased. However if is cancelation is by force majeure refunds are non applicable.

b) In the event that you die before the end of your subscription period, your estate shall be entitled to a refund of that portion of any payment you had made for your subscription which is allocable to the period after your death. In the event that you become disabled (such that you are unable to use the App) before the end of your subscription period, you shall be entitled to a refund of that portion of any payment you had made for your subscription which is allocable to the period after your disability by providing the company notice in the same manner as you request a refund as described below.

c) To request a refund: In addition to canceling, you must request a refund to receive one. For all other purchases: please contact customer support with your order number (you can find the order number in the order confirmation email. You may also mail or deliver a signed and dated notice which states that you, the buyer, are canceling this agreement, or words of similar effect. Please also include the username, email address or mobile number associated with your account along with your order number.

8. PUSH NOTIFICATIONS; LOCATION-BASED FEATURES

8.1 We may provide you with emails, text messages, push notifications, alerts and other messages related to the website and/or the Pleiades services, such as enhancements, offers, products, events, and other promotions. After downloading the App, you will be asked to accept or deny push notifications/alerts. If you deny, you will not receive any push notifications/alerts. If you accept, push notifications/alerts will be automatically sent to you. If you no longer wish to receive push notifications/alerts from the App, you may opt out by changing your notification settings on your mobile device. With respect to other types of messaging or communications, such as emails, text messages, etc., you can unsubscribe or opt out by going to settings in your profile.

8.2 The App may allow access to or make available opportunities for you to view certain content and receive other products, services and/or other materials based on your location. To make these opportunities available to you, the App will determine your location using one or more reference points, such as GPS, Bluetooth and/or software within your mobile device. If you have set your mobile device to disable GPS, Bluetooth or other location determining software or do not authorise the App to access your location data, you will not be able to access such location

9. THIRD-PARTY WEBSITES

9.1 The App may contain links to third-party websites or resources. In such cases, you acknowledge and agree that we are not responsible or liable for:

(i) the availability or accuracy of such websites or resources; or

(ii) the content, products, or services on or available from such websites or resources.

9.2 Links to such websites or resources do not imply any endorsement. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. Framing, in-line linking or other methods of association with the App are expressly prohibited without first obtaining our prior written approval.

10. ACCOUNT CLOSURE BY YOU

10.1. You shall be entitled to close your Pleiades Account at any time deleting your Account on the ‘Profile’ page when you are logged in and clicking on the ‘Delete account’ link. Your Account will be deleted immediately but it may take a little while for Your Content (defined below) to be completely removed from the App. If you delete your Account and try to create a new account, we will re-activate your Account for you. To prevent fake accounts and fraud it will not be possible to make a new account. Please contact customer service if you made a mistake and need to make a new account.

10.2 In the event of closure by you of your Pleiades Account, Pleiades will mark your Pleiades Account in its database as "Closed", but will maintain a record of the Customer Information provided by you to Pleiades in Pleiades’s database for Pleiades’s compliance with applicable laws, rules, regulations, directions, orders and requirements. Such maintenance of a record by Pleiades of the Customer Information provided by you to Pleiades is, for instance, necessary in order to deter against fraud, by ensuring that persons who try to commit fraud will not be able to avoid detection simply by closing their initial Pleiades Accounts and opening new Pleiades Accounts. However, the Customer Information provided by you to Pleiades will not be used by Pleiades for any further purposes, nor sold or shared with third parties, except to the extent necessary to prevent fraud and assist law enforcement authorities, or as required by law.

10.3 If you terminate these Terms, your subscription will continue until the end of the subscription period for which applicable fees have been paid, and you will not be entitled to a refund except as stated in Section 5.

11. ACCOUNT SUSPENSION OR CLOSURE BY PLEIADES

11.1 Pleiades use a team of moderators to monitor, review accounts and messages for content that indicates breaches of these Terms. We reserve the right at our sole discretion to suspend or close any Account, restrict access to the App, or make use of any operational, technological, legal or other means available to enforce the Terms (including without limitation blocking specific IP addresses and device ID), at any time without liability and without the need to give you prior notice. Without limiting the foregoing in any way, we expressly reserve the right to terminate or suspend your Account without notice (1) for violating these terms, (2) due to your conduct on the App, or your conduct with other users of the App (including your “offline” conduct), if we, in our sole discretion,

determine your conduct was inappropriate or improper, (3) if we or our affiliates, in our or their sole discretion, determine your conduct on other apps operated by our affiliates was inappropriate or improper, or (4) for any reasons whatsoever that we deem, in our sole discretion, justifies termination. If your Account is terminated or suspended, you agree you will not receive a refund for any paid service or features you have already been charged for.

You may not access, tamper with, or use non-public areas of the App or our systems.

11.2 In the event that Pleiades determines, in its sole discretion, that you have breached any portion of these Terms, or have otherwise demonstrated conducted inappropriate for the App, Pleiades reserves the right to: (a) warn you via email (to any email addresses you have provided to Pleiades) that you have violated the Terms; (b) delete your User Content; (c) discontinue your Account; (d) discontinue your subscription(s); (e) notify and/or send your User Content to and/or fully cooperate with the proper law enforcement authorities for further action; and/or (f) pursue to any other action which Pleiades deems to be appropriate.

12. SURVIVING TERMS FOR ACCOUNT CLOSURE AND COMPLIANCE

These Terms shall survive termination to the extent necessary for the closure of your Pleiades Account by you or Pleiades and for compliance by Pleiades with applicable laws, rules, regulations, directions, orders and requirements.

12.1 Complaints

a) If you would like to make a complaint, or contact us for any other reason connected to these terms and conditions please write to the Pleiades Customer Support team via ouch@juicebox.ooo

b) Pleiades will send an acknowledgment email or text to inform you upon receipt of your complaint within 14 business days.

c) Pleiades will try to resolve any complaints you have about the service Pleiades provides to you within 15 business days of receiving your complaint and in exceptional circumstances, within 35 business days (and Pleiades will let you know if this is the case).

d) Pleiades have procedures in place to make sure that Pleiades handles your complaint fairly and quickly. However, if you are not satisfied with the outcome of your complaint, you can file a complaint at the online platform for alternative dispute resolution (ODR-platform). You can find the ODR-platform through the following link: https://ec.europa.eu/consumers/odr.

e) CONTACTING IN CASE OF AN EMERGENCY

Pleiades may need to contact you urgently if Pleiades suspects or finds fraudulent activity has occurred on your account (provided Pleiades is not prohibited from doing so by law) or if Pleiades suffers a security threat. To do so, Pleiades may (for example) send you a text message instead of calling or emailing you, if Pleiades thinks this is the quickest way to contact you. When Pleiades contacts you, Pleiades will also give you information on how you can minimise any risk to your payment instrument depending on the nature of the security threat. We’ll use the same contact details which you have already provided us with when contacting you. You must inform us immediately if your personal details or contact information change.

13. GENERAL RIGHTS OF PLEIADES

13.1. You hereby agree and accept that Pleiades’s records of all transactions, Customer Information and any other matter in relation to these Terms or your use of Pleiades Services (including any communications transmitted electronically or telecommunications between Pleiades and you) are final and conclusive and binding for all purposes, in the absence of manifest error.

13.2. Without prejudice to any of Pleiades’s other rights and remedies (whether under these Terms, at law, in equity or otherwise), Pleiades is required to act in accordance with any and all applicable laws, regulations and rules and directions, orders and of any applicable regulatory authority and/or law enforcement body relating to anti-fraud, anti-terrorism, CFT, AML and the provision of financial and other services to any persons or entities requirements, and may be subject to sanctions in relation thereto. Pleiades shall be entitled to take any action which may be required by any applicable regulatory authority and/or law enforcement body or which it, in its sole and absolute discretion, considers appropriate to take in order to comply with such laws, directions, orders and requirements.

13.3. Without prejudice and in addition to any right of set-off to which Pleiades is otherwise entitled and to the maximum extent permitted by all applicable laws, regulations, rules, directions, orders and requirements, Pleiades may, at any time, upon written notice to you, set-off any amounts owing by you to Pleiades for any breach by you of these Terms against any amounts which Pleiades owes to you.

14. DISCLAIMERS, INDEMNITY AND LIABILITY

14.1. Subject to the applicable laws, regulations, rules, directions, orders and requirements and the Policies, Pleiades shall not in any event be liable in any way to you or any person for any loss, liability, damages or expense, howsoever arising from or in connection with: the Pleiades website or a Pleiades Account, or any transaction initiated or received by you using our services;

any failure, malfunction or breakdown of, or disruption to, the operation of the Pleiades App or your Pleiades Account due to occurrences cyber-attacks, distributed denials of service, errors, vulnerabilities, defects, flaws in programming or source code or otherwise, regardless of when such failure, malfunction, breakdown, or disruption occurs;

any delay or inability on Pleiades’s part to perform any of its obligations under these Terms because of any electronic, mechanical system, data processing or telecommunication defect or failure, act of God, terrorism, civil disturbance or any event outside of Pleiades’s reasonable control or the reasonable control of any of Pleiades’s servants, agents or contractors;

any breach of any obligation of confidentiality by any third party provider of any service or facility associated with the Pleiades Account, and you acknowledge and understand that use of the same involves the transmission of your personal data and transaction details through third parties which Pleiades may be unable to control, and Pleiades is not responsible or liable to you for their performance or the non-performance of their obligations to you;

any loss, theft, or inappropriate or unauthorised disclosure of and/or use of your Pleiades Account and/or your Credentials;

any injury to your character and reputation in relation to your use of the Pleiades Account; and you hereby waive claim you may now or in the future have against Pleiades for the same. You shall fully and effectively indemnify, defend and hold harmless the Indemnified Parties from and against, any and all losses arising directly or indirectly from or in connection with any or all of the foregoing matters.

14.2. To the maximum extent permitted by all applicable laws, regulations, rules, directions, orders and requirements, you shall indemnify and keep the Indemnified Parties fully indemnified against all losses (including legal costs on an indemnity basis) incurred, suffered or sustained by the Indemnified Parties, directly or indirectly, by reason of or in connection with these Terms, including but not limited to:

breach of any provision of these Terms on your part;

the enforcement or protection of the Indemnified Parties’ rights and remedies against you under these Terms, or in obtaining or seeking to obtain payment of all or any part of the monies hereby agreed to be paid by you;

applicable laws, regulations, rules, directions, orders and requirements which may have an effect on your Available Balance and/or these Terms.

14.3. This Paragraph shall survive any expiry, termination or other cessation of your relationship with Pleiades.

15. FORCE MAJEURE

Pleiades shall not be liable to you or be deemed to be in breach of any provision of these Terms by reason of any delay in performing, or any failure to perform, any of its obligations if the delay or failure was due to any Force Majeure Event.

16. AMENDMENT, MODIFICATION OR VARIATION OF TERMS

16.1. Pleiades shall have the right in its sole and absolute discretion to amend, modify or vary these Terms (and such part of the Policies to the extent that it is entitled to make such amendments, modification or variation) by giving notice of such amendment, modification or variation (“Changes”) no later than two (2) months before the proposed date of entry into force of the Changes to these Terms via e-mail, and on the Pleiades Website, through your Pleiades Account via the Pleiades website or in any other form or manner deemed appropriate by Pleiades (which shall constitute good and sufficient notice thereof to you by Pleiades and shall be deemed to have been received by you on the date of such posting or e-mail notice. Pleiades shall not be required to provide such notice period of two (2) months in the case where a Change is required by the applicable laws, rules, regulations, directions, orders or requirements or relates to the addition of a new service, extra functionality to the existing Pleiades Services or any other change which neither

reduces your rights nor increases your responsibilities. In such instances, the Change will be made without prior notice to you and shall be effective immediately.

16.2. In the event that you do not accept a Change as set out in a notice given by Pleiades, you shall forthwith close your Pleiades Account by notifying Pleiades of such closure and/or termination in accordance with Paragraph 16.1 above prior to the proposed date of entry into force of the amended, modified or varied Terms. Subject further to Paragraph 17 above, you shall nevertheless remain liable to Pleiades after your closure and/or termination for any liabilities or charges which you may have incurred and are responsible for prior to your closure and/or termination.

16.3. Where you continue to hold or use your Pleiades Account after the proposed date of entry into force of the Changes to these Terms, you shall be deemed to have agreed with and accepted such Changes to these Terms.

17. INCONSISTENCY WITH ANY APPLICABLE LAW, REGULATIONS OR RULES

17.1 In the event that any provision in these Terms results in any direct or indirect non-compliance by Pleiades with any provision in any applicable law, regulation, rule, direction, order and requirement in any jurisdiction, you acknowledge and agree that:

(i) such provision in these Terms shall be null and void to the extent of such non-compliance by Pleiades; and

(ii) Pleiades shall be entitled to take such action as may be required for compliance by Pleiades, or omit to take such action as may result in continued or future non-compliance by Pleiades, with such provision in the applicable law, regulation, rule, direction, order or requirement.

18. NO WAIVER

No failure to exercise or enforce, and no delay on the part of Pleiades in exercising or enforcing its rights under these Terms shall operate as a waiver thereof nor shall such failure or delay in any way prejudice or affect the rights of Pleiades at any time.

19. CONFIDENTIALITY

You agree that Pleiades shall not be under any obligation of confidentiality to you regarding any such information or material provided by you, unless agreed otherwise in a separate direct contract between you and Pleiades and, or otherwise required under applicable law.

20. ASSIGNMENT

20.1. The Pleiades Account are non-transferable and all rights, interests and obligations under these Terms shall be non-assignable and/or establishment of the Pleiades Account without the prior written consent of Pleiades. The Pleiades Account shall be used only by you and no other person for Pleiades Transactions strictly.

20.2. To the maximum extent permitted by all applicable laws, regulations, rules, directions, orders and requirements, Pleiades may assign and transfer any or all of its rights, interests and obligations under these Terms to any person. Any such assignment or transfer shall take effect upon fulfilling notification requirements, as stipulated in Paragraph 21 of these Terms. In the event that Pleiades assigns and transfers all its rights, interests and obligations under these Terms:

all references to Pleiades in these Terms shall upon and after any such assignment and transfer be construed as a reference to the assignee and transferee of Pleiades; and such assignee and transferee shall be entitled to enforce all rights and perform all obligations of Pleiades and to be paid all sums due from you under these Terms as at the date of such assignment and transfer thereafter.

21. NOTICES AND CORRESPONDENCE

21.1. All notices and communications by Pleiades to you shall be in writing in the English language, unless specifically allowed by Pleiades otherwise. You agree that Pleiades may provide notice or other information to you by posting it on the Pleiades Website or through your Pleiades Account (including the posting of information which is only accessible by you by logging into your Pleiades Account), emailing it to the email address provided by you as Customer Information in connection with your Pleiades Account, mailing it to the registered address provided by you as Customer Information in connection with your Pleiades Account, calling you by telephone, or sending you an text message. You must have internet access and an email account to receive communications and information relating to the Pleiades Services. With the exception of amendments to these Terms, such notice shall be considered to be received by you within twenty-four (24) hours of the time it is posted on the Pleiades Website or through your Pleiades Account via the Pleiades App or emailed to you. You may request a copy of any legally required disclosures (including these Terms) from Pleiades. Pleiades will provide this to you in a form which allows you to store and reproduce the information in these Terms (for example, by email) and you may terminate your consent to receive required disclosures through electronic communications by contacting Pleiades at ouch@juicebox.ooo Pleiades may charge you a fee to provide such legally required disclosures. Pleiades reserves the right to close, restrict, suspend or terminate your access to the Pleiades Account and/or use of the Card if you withdraw your consent to receive electronic communications from Pleiades.

21.2 . All notices and requests from you to Pleiades shall be in writing in the English language and no other language and sent via email to ouch@juicebox.ooo unless otherwise specified by Pleiades to you. Pleiades shall be entitled to regard as ineffective and invalid any notice or request by you the receipt of which has not been confirmed by Pleiades to you.

22. INTELLECTUAL PROPERTY RIGHTS

22.1. These Terms shall not entitle you to any intellectual property rights, including the rights in relation to the use, for any purpose, of any information, image, user interface, logos, trademarks,

trade names, Internet domain names or copyright in connection with any part of these Terms, the Policies and the Pleiades Website.

22.2. Pleiades observes a policy of limiting access to the Pleiades Services by users who infringe the intellectual property rights of others. If you believe that anything associated with the Pleiades Services infringe any copyright that you own or control, you may notify Pleiades in accordance with Paragraph 26 above.

22.3. The Application Programming Interface (API) of the Pleiades website is the copyrighted technology of Pleiades and may not be copied, imitated or used, in whole or in part, outside of the Pleiades App’s intended use. Pleiades retains all its rights related to its databases, websites, graphics, software, applications, programs, code, etc, including chat text, the content of Pleiades’s emails, and data such as transaction prices developed or provided by Pleiades or its affiliates which can be acquired by various external APIs. Pleiades may demand any third parties stop using Pleiades’s API for any purposes not authorised by Pleiades.

22.4. The Pleiades logo, any other Pleiades service names, logos or slogans that may appear on the Services, and the look and feel of any part of the Pleiades Services, the Pleiades App and the Pleiades Website, including all page headers, custom graphics, button icons and scripts, are trademarks, service marks or trade dress of Pleiades and its suppliers and its licensors, and may not be copied, imitated or used, in whole or in part, without its or the applicable trademark holder’s prior written consent thereto. You may not use any metatags or other “hidden text” utilising any name, trademark or product or service name of Pleiades without Pleiades’s prior written consent thereto. Further, you may not use, frame or utilise framing techniques to enclose any Pleiades trademark, logo or other proprietary information, including the images found on any part of the content of any text or the layout or design of any page, or form contained on a page, on any part of the Pleiades Services, the Pleiades App and the Pleiades Website without Pleiades’s prior written consent thereto.

You shall not, and may not attempt to, directly or indirectly:

transfer, sublicense, loan, sell, assign, lease, rent, act as a service bureau, distribute or grant rights to any part of the Pleiades Services, the Pleiades App, or the Pleiades Website to any person or entity;

modify, alter, tamper with, repair, or otherwise create derivative works of any software included in any part of the Pleiades Services, the Pleiades App, or the Pleiades Website; reverse engineer, disassemble, or decompile any part of the Pleiades Services, the Pleiades App, or the Pleiades Website or apply any other process or procedure to derive the source code of any software included in any part of the Pleiades Services, the Pleiades App or the Pleiades Website.

22.6. You shall not issue any press release or make any public statement related to any part of the Pleiades Services, the Pleiades App, or the Pleiades Website, or except as expressly provided in these Terms, use the name, trademarks or logo of Pleiades or any of its affiliates in any form or manner (including in promotional material) without Pleiades’s prior written consent thereto, or misrepresent Pleiades or any of its affiliates.

22.7. Pleiades may display third-party content, advertisements, links, promotions, logos and other materials on or through any part of the Pleiades Services, the Pleiades App, or the Pleiades Website (collectively, “Third-Party Content”). Pleiades does not control, endorse, sponsor or adopt any Third-Party Content or any third parties referenced on the Services, and Pleiades makes no representations or warranties of any kind regarding such Third-Party Content, including, without limitation, regarding its accuracy or completeness. Your interactions with Third-Party Content, and any third party that provides Third-Party Content, are solely between you and such third parties, and

Pleiades is not responsible or liable in any manner for such interactions or Third Party Content. When you leave the Pleiades App or the Pleiades Website and enter a third-party application or website, these Terms and the Policies will no longer be applicable.

23. SEVERABILITY

23.1. If any of these Terms is rendered void, illegal or unenforceable by any legislation to which it is subject, it shall be rendered void, illegal or unenforceable to that extent and no further and, for the avoidance of doubt, the rest of these Terms shall continue to be valid and in full force and effect.

23.2. The illegality, invalidity or unenforceability of any provision of these Terms under the law of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction nor the legality, validity or enforceability of any other provision.

24. APPLICABLE LAW AND JURISDICTION

24.1 These Terms shall be subject to and construed in accordance with the laws of Norway and you hereby submit to the non-exclusive jurisdiction of the courts of Oslo.
